The TravelNet’s Terms Service 

By signing up or creating an account to use the products and services offered by The TravelNet, you hereby agree to the terms of service detailed below.  The TravelNet is a certified IATA travel agency, registration number 96534233, with office at 2425 Matheson Blvd. East, Mississauga, ON.  The TravelNet offers products and services to help you setup an online travel store, sell travel products and services online, and manage your customer orders and customer profiles. You can use The TravelNet to sell your own products and services or to list and sell products offered by third party providers available through our customer account area.  Any updates, new features or products added by The TravelNet will automatically fall under the terms and guidelines detailed in this agreement. The TravelNet reserves the right to update these terms at any time without notice. The latest version of the Terms of Use will always be available at https://www.thetravelnet.com/terms-of-service. It is our strong recommendation that you check from time to time for any updates made to the terms of service. 

Once you have successfully setup your account, The TravelNet assumes you have read the details of this Terms of Service agreement and it is now legal and binding. 

1. Account Terms

To register an account and use the products and services offered by The TravelNet, you must be 18 or older, or any age that represents “age of majority” in your jurisdiction of permanent residence. 

When creating an account to use The TravelNet’s products and services, we require you provide your full legal name, current address, a contact number, an active email address and any other information marked as “required” on our account registration form. 

It is the right of The TravelNet to reject any user registration for any reason deemed fit in our sole discretion. 

You acknowledge that the contact information you provide on registration can be used by The TravelNet to contact you at any time, for any reason(s) deemed necessary. 

You acknowledge that email address provided is active and that The TravelNet can use that email as the primary source of contact. It is also your responsibility to ensure that if your contact information changes, it is updated within your account at the soonest possible time.  

You are fully responsible for any content you upload through your account area. Content includes; images, text, graphics, videos, links. 

Your account will allow you to add limited role account users and sub-agents. If you are the primary account holder, you along with your account users are responsible for any content uploaded by your account users.

The TravelNet reserves the right to disable any account without notice if for any reason we find the content uploaded by you or your account users to be inappropriate or in breach of the terms outlined in this agreement. 

Your account password is your responsibility. The TravelNet will not be held liable for any loss or damaged sustained due to failure on your part to properly secure access to your account or to protect your account password. 

2. Account Activation

The TravelNet assumes the name and contact information entered at the time of registration is the name of the Account Owner and only that person will have access to information relevant to that account.

If you are creating an account on behalf of a client or employee, you agree that you have the full authority to enter that individual or entity into a fully binding agreement with The TravelNet. 

Once you have completed the registration form with all the required information, and agreed to the Terms Of Service, your account will automatically be generated and you will have access to now use The TravelNet’s products and services.

You understand and agree that The TravelNet’s products and services available for use by you will be limited to features and products detailed in the subscription package you selected. 

You will be able to change or upgrade your subscription plan at anytime. 

3. Industry Regulations and Account Limitations

You understand that your ability to sell travel and travel related products and services through The TravelNet might be limited in accordance with the rules and regulations outlined by the International Association of Travel Agents (IATA), and or any local regulatory body that may govern the sales of travel services in your current jurisdiction of operation. 

You understand that you must be an IATA certified agency to issue invoice, airline tickets or collect funds for any travel related products or services. Otherwise, while you are an active user of The TravelNet, you must operate under The TravelNet’s IATA membership number. 

You understand that while operating under the IATA registration number of The TravelNet, all funds submitted by clients for the purpose of purchasing travel, or commission checks issued by suppliers for services sold by you under the TravelNet Agency, will be collected by The TravelNet. 

You understand that while selling travel under the agency registration of The TravelNet, only the applicable commission amount earned will be paid to you by The TravelNet in accordance with section 4.

You understand that if you are using The IATA membership number of The TravelNet, all marketing material (All print media and digital media, website, invoices, email correspondence) used by you to promote travel and travel related services, for as long as you are a user of The TravelNet, must maintain the agency information of The TravelNet including; Agency Name, Address, Email, phone number and company registration numbers. 

You understand that any trade name used by you to promote travel and travel related services including but not limited to website name, must be registered under The TravelNet with local and International travel regulatory bodies. 

The TravelNet reserves the right in it’s sole discretion, to disable any account without notice if that account is considered to be operating in a manner that may not be in accordance with Travel Industry Regulation and may be detrimental to The TravelNet’s good standings with local and international travel regulatory bodies. 

All IATA certified agencies must provide their IATA registration number at the time of account creation. 

The TravelNet reserves the right to verify your IATA registration information, however, it is your responsibility to ensure all local and international required registration details entered by you is valid, and you are conducting business in accordance with local and international Travel Industry Standards and Regulations at all times. 

If you are an IATA certified agency and you are using The TravelNet as such, you understand that you are fully responsible for all invoicing and the proper holding of funds in accordance with Local and International Travel Industry Regulations, and The TravelNet’s business and registration information cannot be used on any invoice issued by your or on any print or digital media used by you to sell and promote travel related products and services. 

The TravelNet will not assume any responsibilities for any issues arising from negligence, misuse or misrepresentation of information on the part of any account user who has stipulated that He, She or it is an IATA certified agency. 

The TravelNet Reserves the right to disable any account that we believe are conducting business inappropriately or under false documents or expired documents.

4. Commission & Payments

The TravelNet’s commission payments are as follows and only apply to users who are operating under the IATA number of The TravelNet, and applies to sales process through your account or by using The TravelNet’s IATA number:

    For users with gross monthly sales less than $US25, 000, you will earn 70% of the gross commission amount earned.

    For users with gross monthly sales greater that $US25, 000 per month and less than $US50, 000 per month for more than 3 consecutive months, you will keep 80% of the gross commission earned thereafter. 

    For sales of $US50, 000 per month or greater for more than 3 consecutive months, you will keep 90% of the commissions earned thereafter

You understand that in order to maintain your commission threshold, you must maintain the monthly sales requirements. 

If you fall below the monthly-required gross sales amount for more than 2 months in a row, your commission earnings will be adjusted according to the last month’s growth sales for the months to follow.

For each time you fall below the growth sales requirements for a commission threshold, you will need to maintain 3 consecutive months of sales to earn the applicable commissions for any specified threshold. 

You understand that commissions earned will you become available to your as long as, the reservation was not cancelled, the vendor(s) have been paid in full for the products and services purchased by the client, the client travel dates have passed, and there are no pending disputes regarding said order(s).

Commission will be held for any disputed orders until the dispute have been resolved, at which time, any commissions still due based on the outcome of said dispute will be released to you on the next payment date following dispute resolution.

Commissions can be paid by check, our by wired transfer to your bank account, and available commissions will be released to you for all amounts greater than $50 on the second and fourth Friday of every month. It is your responsibility to specify the method in which you would like to be paid and provide the required information to have payments processed. 

5. Product Listing

Users can use The TravelNet to create and list their own products and services, related to the available products and services offered in the products section of your account. 

You agree that you reserve the right to list and sell these products and services and you will at no time use false information to mislead or wrongfully solicit data or funds from clients who purchase the products you have listed. 

The TravelNet reserves the right to verify any product listed by any account users, and if for any reason said product is found to be in breech of this agreement, The TravelNet in its sole discretion can delete said product and also terminate the membership of the account user that posted the product. 

You agree that if another agent sells a product listed by you, The TravelNet will hold the portion of commission due to that agent, and The TravelNet will make payment to that agent. 

6. Support Services

The TravelNet shall provide account support services for all paid account members. 

All technical support services will only be available via email to support@thetravelnet.com, online chat or via a support ticket submitted through the help desk in your account area. 

All requests for technical support shall be responded to within 24 hours.

The help desk available in your account will also provide answers to general user questions and guides to help you understand various module features and function.

A 24/7 support phone line will be available for The TravelNet users operating under The TravelNet’s IATA number, only for matters related to client orders. 

7. General Conditions

It is a requirement that you agree to the terms outlined in this agreement and our Privacy Policy before your account is activated. 

You agree that The TravelNet can update the terms of this agreement at any time without notice, by making the amended version available on our website at https://www.thetravelnet.com/terms-of-service

I understand that this agreement shall take effect as of the date of account creation.

You agree that the laws of the Province of Ontario Canada shall govern the terms set forth in this agreement where applicable. The parties hereby irrevocably and unconditionally agree that the courts of the Province of Ontario shall settle any dispute or claims arising from the terms set forth in this agreement. 

You are not allowed to use the services offered by The TravelNet or the TravelNet’s name to participate in any activity that may be considered as illegal or misleading. As long as you are an active member of The TravelNet, you must comply with all consumer laws applicable in your jurisdiction. 

You are not allowed to copy, reproduce, sell, resell or exploit any portions of The TravelNet’s services except for the services that such permissions have been granted for by The TravelNet. 

8. The TravelNet’s Rights

The TravelNet reserve the rights to modify or terminate the Service for any reason, without notice at any time.

The TravelNet reserve the rights to refuse service to anyone for any reason at any time.

The TravelNet may, but have no obligation to, remove account or website content and Accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

Verbal or written abuse of any kind (including threats of abuse or retribution) of any The TravelNet’s customers, The TravelNet’s employees, The TravelNet’s members, or offices will result in immediate Account termination.

The TravelNet may provide its services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that The TravelNet’s employees and contractors may also be The TravevelNet’s customers/merchants and that they may compete with you, although they may not use your confidential information in doing so.

In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm Account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.

The TravelNet retains the right to determine, in our sole judgment, rightful Account ownership and transfer an Account to the rightful owner. If we are unable to reasonably determine the rightful Account owner, The TravelNet reserves the right to temporarily disable an Account until resolution has been determined between the disputing parties.

9. Customer Data & Intellectual Property

The TravelNet does not claim any intellectual property rights over the content your post in your account, and you can at anytime delete, or remove any content added by you to The TravelNet.

You hereby grant The TravelNet a non-exclusive right to copy, reproduce, store, distribute, publish, edit, adapt and translate the data entered by you to the extent reasonably required for the performance of The TravelNet’s obligations under this agreement. 

The TravelNet will not disclose your personal contact information provided in your account to anyone except where prior written consent is given by you. However, you understand that by posting content to your online travel store, you agree to have other Internet users view said content.

The TravelNet understands the importance of protecting your confidential information and we will take all necessary measures to ensure such information is securely stored.

10. Acknowledgements and warranty limitations

The use of The TravelNet’s services is at your own risk. You understand and acknowledge that complex software is never wholly free from defects, errors and bugs; and subject to the other provisions of this Agreement, The TravelNet gives no warranty or representation that the Services offered by The TravelNet will be wholly free from defects, errors, bugs or any other issues that may cause interruption in service.

You understand and acknowledge that complex software is never entirely free from security vulnerabilities; and subject to the other provisions of this Agreement, The TravelNet gives no warranty or representation that the Service provided by The TravelNet will be entirely secure.

The TravelNet makes no promises that our system will be compatible with any other software other than those provided as a part of the Services provided by The TravelNet in your account.

You understand and acknowledges that the The TravelNet will not provide any legal, financial, accountancy or taxation advice under this Agreement or in relation to the Hosted Services; and, except to the extent expressly provided otherwise in this Agreement, the Provider does not warrant or represent that the Hosted Services or the use of the Hosted Services by the Customer will not give rise to any legal liability on the part of the Customer or any other person.

You acknowledge that to the fullest extent permitted by applicable law, The TravelNet disclaims all warranties, representations and conditions of any kind with respect to The Services provided by The TravelNet through this platform whether express, implied, statutory or collateral, including implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose and non-infringement, or any warranties or conditions arising out of course of dealing or usage of trade, or that the services is or will be error free or will operate without interruption. The TravelNet makes no representation, condition or warranty that your use of the services will comply with applicable laws, including privacy and anti spam laws.

11. Indemnification

You agree to defend, indemnify and hold harmless The TravelNet and all of its officers, directors, affiliates, successors, assigns, contractors, employees and agents from and against any liabilities, claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind brought in connection with or as a result of:

Your breach of these Terms or any documents referenced herein;

Your violation of any applicable law (including any law, regulation or order related to privacy or anti-spam) or the rights of a third party (including privacy or intellectual property rights);

Your use of the Platform (including any electronic messages sent, caused or permitted to be sent by you);

Your breach of or failure to honor any Reservation; or (5) any misrepresentations made to a Customer by you.

12. Payments & Fees

By creating an account to use The TravelNet’s services, you agree to all fees and charges set by The TravelNet as described on our website for use of The TravelNet’s services, including but not limited fees associated with the use of any third party or affiliate services offered through The TravelNet.

You will agree to pay all fees assigned for use of the TravelNet’s services including but not limited to transaction fees for payment processing, fees for website themes, domain names purchased, fees charged by our third party affiliates for use of their services and any other current of future fees that may be associated with The TravelNet’s services that you use. 

All fees will be paid in advance on a 30-day billing cycle starting from the first day of account activation. All outstanding fees owed at the time of billing will be charged and an invoice sent to the email address associated with your account.

You agree to always keep a valid credit card on file, and you also give The TravelNet permission to deduct all outstanding fees from the credit card associated with your account on the date that said payment is due or past due. 

You understand and agree that The TravelNet has the right to deduct any outstanding fees owed by you to The TravelNet from any commission amounts due to you by The TravelNet.

You agree and understand that if outstanding fees are not settled within 2 weeks of billing date, your account will be suspended, and you will not be able to use any of the services provided by The TravelNet until all outstanding fees are cleared.

The TravelNet reserves the right to permanently terminate any account that in it’s sole discretion considers or unwilling to pay the fees set forth for using The TravelNet’s services. 

All Fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future (“Taxes”)

You understand that any mandatory federal, provincial, state, local or governmental taxes applicable in your jurisdiction is your responsibility and will be charged to you in addition to the fees set by The TravelNet for the use of it’s Services.

All charges are final and The TravelNet does not issue refunds, unless where otherwise specified in writing by The TravelNet.

13. Price and Service Modification

You understand that The TravelNet may modify its services and service prices from time to time. Any change to pricing will come after 30 days notice have been given to you via our website (Thetravelnet.com) or via notice placed on your account dashboard.

The TravelNet reserves the right to modify or discontinue a service at anytime without notice, and The TravelNet will not be held liable to you or any third party for any discontinuation or modification to a service provided by The TravelNet. 

13. Third Party Services

By creating an account with The TravelNet, you also agree and are bounded to the terms of Third Party service providers and affiliates of The TravelNet that you are provided access to through The TravelNet’s platform (your account login area).

You agree and understand that The TravelNet has no control over the third party services provided and any use by you of Third Party Services offered through The TravelNet is entirely at your own risk and discretion, and it is your responsibility to read the terms and conditions and/or privacy policies applicable to such Third Party Services before using them.

We do not provide any warranties with respect to Third Party Services. You acknowledge that The TravelNet has no control over Third Party Services, and shall not be responsible or liable to anyone for such Third Party Services. The availability of Third Party Services offered by The TravelNet, or the integration or enabling of such Third Party Services with the The TravelNet’s Services does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by or with The TravelNet.

You understand and agree that when you use a service through The TravelNet that is provided by a third party provider, you are also granting permission to The TravelNet to provide all necessary information needed for that Providers interoperation purpose. 

14. Website Templates and Themes

The TravelNet provides pre-designed templates for you to use and establish an identity for your website(s). There are free themes available for you to use and there are premium themes available for purchase. If you purchase a theme, that theme can only be used for one website at a time. If you wish to transfer a purchased theme to another site, you must first discontinue the website that is currently using that theme. If you wish to use the same theme for multiple sites, you will have to purchase that theme again for each website it is used on. 

You may update a theme according to the maximum customization allowed by The TravelNet’s website setup process and theme customization. However, The TravelNet reserves the right to remove any element from your website that in it’s sole discretion is considered to be offensive, unlawful, pornographic, defamatory, obscene or items that may violate intellectual property rights. 

The TravelNet reserves the right to add, maintain and modify The TravelNet’s marks and branding on all themes without your consent or without notice. 

The intellectual property rights of each website template made available to you by The TravelNet remains with the designer of the template. You are not allowed to sell, copy or re-use any of the themes outside of The TravelNet. 

The TravelNet reserves the right to update a theme, without your consent or prior notice, to accommodate new features or updates made to existing features. 

15. Cancellation Of Service

You may cancel your account at any time by sending an email to support@thetravelnet.com.

Upon termination of the Services by either party for any reason:

The TravelNet will cease providing you with the Services and you will no longer be able to access your Account;

Unless otherwise provided in the Terms of Service, you will not be entitled to any refunds of any Fees, pro rata or otherwise;

Any outstanding balance owed to The TravelNet for your use of the Services through the effective date of such termination will immediately become due and payable in full; and

Your store website will be taken offline.

If you purchased a domain name through The TravelNet, upon cancellation your domain will no longer be automatically renewed. Following cancellation, it will be your sole responsibility to handle all matters related to your domain with the domain provider.

If at the date of termination of the Service, there are any outstanding Fees owing by you, you will receive one final invoice via email. Once that invoice has been paid in full, you will not be charged again.

We reserve the right to modify or terminate The TravelNet’s services or your Account for any reason, without notice at any time.

Fraud: Without limiting any other remedies, The TravelNet may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with you account and website(s).

16. Waivers, Modification and Complete Agreement

No provision of this Agreement may be modified, waived or discharged unless such waiver, modification or discharge is agreed to in writing signed by Executive and the Company. No waiver by any party hereto at any time of any breach by any other party hereto of, or compliance with, any condition or provision of this Agreement to be performed by such other party shall be deemed a waiver of similar or dissimilar provisions or conditions at the same or any prior or subsequent time. No agreements or representation, oral or otherwise, express or implied, with respect to the subject matter hereof have been made by any party, which are not set forth expressly in this Agreement.

DMCA Takedown Procedure

The TravelNet supports the protection of intellectual property and asks The TravelNet's members and users to do the same as well. The TravelNet will respond to all notices of alleged copyright infringement. If someone believes that one of our users or members is displaying content that infringes their intellectual property rights, they can send a DMCA Notice to The TravelNet via our contact form. Upon receiving a DMCA Notice, we may remove or disable access to the material claimed to be a copyright infringement. Once provided with a notice of takedown, the user or member can reply with a counter notification if they object to the complaint. The original complainant has 14 business days after we receive a counter notification to seek a court order restraining the merchant from engaging in the infringing activity, otherwise we restore the material.
